本使用者授權合約(本「合約」)係您(包括安裝軟體的個人,以及由該個人所代表之任何單一法律實體,下稱「您」或「您的」)與Wacom Co. Ltd, 2-510-1 Toyonodai, Kazo-shi, Saitama 349-1148, Japan(以下稱「Wacom」)所簽訂。

請您務必仔細閱讀並瞭解本合約。通過點擊「同意」按鈕或使用或安裝軟體,您同意受本協議的約束。如果您不同意本合約的所有條款或不同意接受本合約的約束,請點擊您設備的「取消」按鈕。如果您不同意本協議,您將無權安裝、使用或訪問軟體。

1.定義

1.1「說明文件」是指安裝和使用軟體的使用者指南及手冊。

1.2 「產品」是指授權硬體設備以及可與之兼容的軟體的組合

1.3 「軟體」是指由 Wacom 開發的 「Bamboo Paper」 軟體應用程式(以及Wacom 提供的上述軟體的任何相關更新),該軟體可讓您獲取您的硬體設備上的資料,以便能夠為其他目的以及在其他應用程式內使用和處理這些資料。「軟體」不指或不包括任何第三方軟體。

1.4 「第三方軟體」是指第5.6條款中規定的軟體元件(包括開源軟體)以及任何相關原始程式代碼和/或文檔。

2.軟體許可

2.1許可授予。依照本合約條款規定,Wacom 特此授予您有限、非獨占授權,以便:(a) 僅以機器可讀形式在單一硬體設備上使用和安裝軟體的一份副本;(b) 使用軟體隨附的文檔為本軟體的授權使用提供支援;以及 (c) 僅出於備份目的製作一份軟體的備份副本,但是應在此類備份副本上複製軟體原始版本包含的所有商標、版權以及其他專有和限制性權利聲明、標識和符號。儘管有上述規定,但如果您未滿 18 歲,則您同意,如無父母或監護人同意接受本合約規定,我們將不會向您出售或提供軟體授權。

2.3 「出口限制」。您不得使用或以其它方式出口或再出口軟體,除非您合法取得軟體所在司法區域的法律授權。如果您是從美國獲得軟體,則軟體不得被出口或再出口至(a)被美國禁運的國家或(b)美國財政部特別指定國民名單或美國商務部拒絕人員名單或拒絕實體名單中所列的任何人或實體。通過使用軟體,您陳述并保證您不處於任何該等國家内或任何該等名單上。您還同意不將這些產品用於美國法律禁止的用途,包括但不限於導彈或核武器、化學或生化武器的開發、設計、製造和生產。

2.4不得轉讓;一次性轉移。未經Wacom事先書面同意,您不得通過運用法律或其它方式對軟體或您在本協議項下的權利或義務進行轉移、轉讓或授權,但無合理理由,Wacom不得拒絕作出該等同意。不過您可以進行一次性永久轉讓該軟體連同您在本合約下所有權利至另外一方,當且僅當滿足全部下列條件: (a) 轉讓包括下載有或預裝該軟體的硬體,並且包括軟體和本合約,(b) 您不能在任何介質或電腦上保留任何該軟體的拷貝或部分拷貝,(c) 接受軟體的一方閱讀、理解和同意合約條款。違反本款規定進行的本協議項下的任何權利或義務轉移、轉讓或授權均是無效且不具有效力。

2.5所有權。僅是將軟體許可而非出售給您,供您按照本協議條款规定使用。對於軟體(包括對軟體的任何修改、完善、更新和衍生作品)和與此相關的任何及所有專利、著作權、商標、商業秘密和任何其它智慧產權或工業產權,WACOM和/或其關聯方或許可方將且確實享有所有權利、所有權和利益。除本協議明確授予的權利外,WACOM就軟體保留本協議未明確授予您的所有權利和利益,且您未就軟體獲得任何其它明示或暗示的權利。

2.6不支援。WACOM在本協議項下無義務提供技術支援、維護、升級、更新、修改或新版本投放。

2.7更新。WACOM可自行決定是否向您提供軟體的更新或升級。本協議條款將管轄WACOM向您提供的取代、補充、修改或加强軟體的任何該等更新或升級,除非該等升級或更新適用單獨一整套條款,但該等條款不得與本協議發生衝突且不是對本協議的補充。

3.承諾和救濟

3.1有限保固。 WACOM保證,當按照檔案和本協議條款條件使用軟體時,軟體將實質上按照檔案規定運行(a)2年,如果您是歐洲、非洲或中東居民;或(b)玖拾 (90)日,如果您是其它地方居民,從您首次下載軟體之日起算,或者如果軟體是預先下載至您的產品上,在從您啟用產品之日起算(「質保期」)。 如果在該保固期內,軟體與前述保固不符,則Wacom應盡商業上合理的努力,在不向您索取額外費用的情況下,透過維修或更換軟體的方式,修正該不符之處。 如果WACOM判定修復或替換軟體是不可行的、不相稱的、無法在合理時間内完成或會造成不合理的不便,則WACOM可提出任何適當減價或退還您支付的任何費用,以替代軟體修復或替換。軟體不具有容錯功能,且其不能、不允許或意圖用於高風險活動。本款規定了在軟體不符合前述保證的情況下,WACOM在本協議項下的全部責任和義務以及您享有的唯一救濟。在本協議下,WACOM不保證:(A)軟體將符合您的要求,(B)軟體將兼容本協議界定的產品以外的其他產品或可在其上運行,或者(C)糾正任何軟體缺陷或軟體運行不會中斷或出錯。本協議不包含WACOM就任何產品硬體組件作出的任何保證,該等硬體組件應符合該等組件製造商或銷售商提供的任何單獨保證。如果該等不合規情形是因對軟體的無權使用、濫用、誤用、更改、疏忽,或意外損壞軟體,或非WACOM實施的任何軟體修復或修改造成的,則WACOM不負有本協議項下的任何質保義務。軟體替換或修復并不會造成在原有質保期外延長任何期限。WACOM不就第三方軟體承擔質保義務。然而,如果您發現任何嚴重缺陷不完全是或部分是第三方軟體造成或不可完全或部分歸咎于第三方軟體,則WACOM將嘗試把該等缺陷報告給第三方軟體的許可方以便其采取可能的措施。WACOM不能保證許可方是否會采取任何措施彌補該等缺陷。如果在質保期内將該等缺陷報告給WACOM且WACOM無法在質保期内獲得第三方軟體許可方的解決方案,WACOM可自行決定提出適當減價或退還您已支付的任何費用。

3.3 聯絡資訊。與本協議有關或因此引發的任何通訊首先應發送至[http://support.wacom.com],與Wacom的客戶支援取得聯絡。

4.終止

本合約於終止前均為有效。此外,若您未能遵守本合約之任何條款,本合約賦予您的權利和使用權將自動終止、停止生效,無須Wacom發出任何通知或採取任何行動。本協議終止后,您將停止對軟體的所有使用,并將從您的電腦和安裝軟體的任何類似設備上永久刪除且無法恢復軟體及其所有拷貝(包括您的備份和所有檔案)。本協議終止后,第1條、第2.2條、第2.5條、第3.2條、第4條和第5條將繼續有效。

5.一般條款

5.1法律。本協議及因本協議而發生或與此有關的所有事項應受日本國内法律的管轄,不適用任何法律選擇的規定。本協議不受《聯合國國際貨物銷售合同公約》的管轄,在此明確排除該公約的適用。如果雙方之間因本協議或軟體發生或發生與此有關的任何分歧、權利主張或争议,該等分歧、權利主張或爭議可由日本東京地方裁判所獨自裁定,WACOM和您均在此不可撤銷地同意該等法院的管轄權且將該等法院作爲裁判地。

5.2責任限制。在任何情況下,對於任何一方或第三方遭受的任何及所有間接、附帶、特殊、間接性或懲罰性的損害,或利潤、收益、業務、存款、數據、使用損失或替換采購費用,無論是基於違約之訴、侵權之訴還是其它任何理論基礎,即使該方已被告知該等損害的可能性或該等損害是可預見的,另一方也不承擔任何責任。

雙方承認第5.2條和本協議其它規定中載明的責任限制以及本協議中的風險分擔是雙方之間必要的協議條件,若無該等條件,WACOM不會簽訂本協議。

儘管有前述規定,如果發生以下情形,本協議并不限制WACOM向您承擔的責任:(I)因WACOM或其員工或代理的過失造成的死亡或人身傷害;或(II)WACOM或其員工或代理的任何欺詐行爲或不作爲;或(III)因WACOM的故意或重大過失,或(IV)根據强制性產品責任法律的規定。

5.3可分離性。即使本協議的任何規定被認定爲違法、無效或不具有可强制執行性,應盡可能在雙方所載意圖範圍内强制執行該等規定,或者如果無法强制執行該等規定,應視爲從本協議中分離并刪除該等規定,而本協議其它條款應繼續保持完整效力。

5.4法律遵守。您應完全遵守所有適用的法律法規,包括有關出口法律以及您的所在地或軟體下載或使用所在地國家或地區的當地法律 。在不限制前述規定之一般性的情況下,您將不得、同時也要要求您的代表不得將軟體或是直接從軟體產生的任何產品,出口、寄送或傳輸至受到適用法律限制或禁止之目的地、人員或實體。

5.5完整合約;一般。本協議構成雙方間的完整協議,并代替涉及本協議標的物之所有先前或當前書面或口頭協議或陳述。不得將本協議解釋爲在您和WACOM之間創設任何合夥關係、合資關係、勞動關係、代理關係或特許經營關係。本協議包含的任何標題或條標僅爲方便而設,不得定義或解釋本協議任何條款或規定。任一方如要放棄追究不履行或違反本合約的行為只能以書面為之,而且此類放棄不構成放棄追究任何其他或往後的不履行或違反本合約情事。

5.6涉及第三方軟體,包括開放源軟體。下面列出並位於 Bamboo Paper 應用程式內「第三方授權」列表中(作為設置中「關於」功能表的一部分)的第三方軟體元件,將被預先安裝或當您安裝 Bamboo Paper 應用程式時被同時安裝,並且可能在您使用 Bamboo Paper 應用程式時運行。
