A. Bamboo Paper アプリ –エンドユーザーライセンス契約

本エンドユーザーライセンス契約(以下「本契約」といいます)は、(本ソフトウェアをインストールする個人およびそのような個人が代理となるあらゆる単一の法人である)ユーザー(以下「ユーザー」といいます)と、〒349-1148 埼玉県加須市豊野台2-510-1 にある株式会社ワコム(以下「ワコム」といいます)との間で締結されます。

本契約をよくお読みいただき、内容をご理解ください。[同意する]ボタンをクリックする、または本ソフトウェアを使用またはインストールすることで、ユーザー様様は本契約に従うことにご同意いただいたものとみなされます。本契約の条件に同意されず、本契約に拘束されることにご同意いただけない場合は、お使いのデバイスで[キャンセル]ボタンをクリックしてください。本契約にご同意されない場合、ユーザー様は本ソフトウェアをインストール、使用、アクセスする権利を持ちません。

1.定義

1.1 「文書」とは、本ソフトウェアのインストールおよび使用のためのユーザーガイドおよびユーザーマニュアルを意味します。

1.2 「製品」とは、本ソフトウェアが設計の上で互換性を持つ、すべての正規のハードウェア・デバイスを意味します。

1.3 「本ソフトウェア」とは、ユーザーがデータを他の目的や他のアプリケーション内での使用および処理のためにユーザーのハードウェアデバイス上でのデータのキャプチャを可能にする、ワコムが開発したソフトウェアアプリである「Bamboo Paper」と、ワコムが提供または利用可能にする上記のいずれかの関連アップデートのすべてを意味します。「本ソフトウェア」は「第三者製ソフトウェア」を意味せず、これを含みません。

1.4 「第三者製ソフトウェア」は、5.6およびそれに関連するあらゆるライセンス、通知、ソースコード、文書にて特定されるソフトウェアコンポーネント(オープンソースソフトウェアも含む)を意味します。

2.本ソフトウェアのライセンス

2.1 【ライセンスの許諾】ワコムは、本契約の条件に基づいて、ここに、以下の権利を付与する、限定的かつ非独占的ライセンスをユーザーに許諾します: (a) 本ソフトウェア1個を、1台のハードウェアデバイスで、機械可読形式のみで、使用およびインストールする権利。(b) ユーザー様の、本ソフトウェアの正規の使用を補助するために提供される文書を使用する権利。(c) バックアップを目的とする場合に限り、本ソフトウェアのバックアップコピーを1部作成する権利。ただし、本ソフトウェアの原本に含まれているすべての商標、著作権、その他の所有権および制限付き権利の情報、説明文、記号を当該バックアップコピーに表示するものとします。上記にかかわらず、ユーザーは自身が18歳未満の場合、ユーザーはユーザーの親または保護者による本契約への同意なくしては、本ソフトウェアのいかなるライセンスも提示または提供されないことに同意します。

2.2 【制限】ユーザーは、本規約によって明示的に許可される場合や、ディザスタ・リカバリ、プログラムのエラーの確認、バックアップを目的とする場合を除いて、本ソフトウェア(文書を含む)の複製または使用を行ってはならず、いかなる第三者によるこれらの行為をも許可したり、奨励したり、可能にしたりしてはならないものとします。ユーザー様は、本ソフトウェアの修正、翻訳、配布、その派生物の作成、担保入れ、再ライセンス付与、二次ライセンス付与、賃貸、賃借、リース、また、第三者の研修、営利的タイムシェアリング、サービス機関での使用を目的とした本ソフトウェアの使用を行ってはならず、いかなる第三者によるこれらの行為をも許可したり、奨励したり、可能にしたりしてはならないものとします。ユーザーは、本制限にもかかわらず適用法によって明示的に許可されている場合のこの許可範囲を除き、本ソフトウェアのリバースエンジニアリング、分解、デコンパイル、本ソフトウェアに使用され、組み込まれているソースコード、アルゴリズム、方法、技術の究明を行ってはならず、いかなる第三者によるこれらの行為をも許可したり、奨励したり、可能にしたりしてはならないものとします。ユーザー様は、本契約に定義されている製品とは異なるタブレット、サインパッド、その他のデバイスおよび本ソフトウェアの併用を行ってはならず、いかなる第三者によるこれらの行為をも許可したり、奨励したり、可能にしたりしてはならないものとします。ユーザーは、本ソフトウェア内または本ソフトウェア上にある商標、著作権、その他の所有権および制限付き権利の情報、説明文、記号を、除去または改変してはならないものとします。

2.3 【輸出規制】 ユーザーは、ユーザーが本ソフトウェアを合法的に入手した法域の法で許可される場合を除いては、本ソフトウェアを使用、輸出、再輸出することはできません。ユーザーが米国内でまたは米国から本ソフトウェアを入手した場合、 (a) 米国が通商停止をしている国々に対して、または、 (b) 米財務省特定国民リストまたは米国商務省取引禁止対象者リストないし取引禁止対象法人リストに記載されている者に対して本ソフトウェアを輸出、再輸出してはなりません。本ソフトウェアを使用することで、ユーザー様は上記の国に居住しておらず、かつ上記のリストに記載されていないことを表明し、保証したものとみなされます。また、ユーザーは、ミサイル、核兵器、化学兵器、生物兵器の開発、設計、製造、生産を含むがこれに限定されない、米国法により禁止されているいかなる目的のためにも、これらの製品を使用しないことに同意します。

2.4 【譲渡不可、1度きりの移譲】ユーザーは、ワコムの事前の書面による同意を得ることなく、法律の運用またはそのほかのいかなる手段によっても、本ソフトウェアまたは本契約における権利または義務のいずれも、移譲、譲渡、委託してはならないものとします。ただし、以下のすべての条件が満たされる場合に限り、本ソフトウェアと本規約におけるユーザーの権利のすべてを他者に恒久的に移譲することができるものとします。(a) 移譲内容に、本ソフトウェアがダウンロードされた、あるいはプリインストールされたハードウェア デバイス、本ソフトウェア、本規約が含まれていること。(b) ユーザーは、本ソフトウェアまたはそのいかなる部分のコピーをも、いかなる媒体やコンピュータ上にも保持しない。 (c) 本ソフトウェアを受け取る者が本規約の諸条件を読み、理解し、それを受け入れることに同意する。本契約におけるユーザーの権利または義務の移譲、譲渡、委託は、本条項に反する場合、無効であるものとします。

2.5 【所有権】本ソフトウェアは、本契約の条件に準拠する使用を目的としてのみ、ユーザーにライセンスが付与されるものであり、販売されるものではありません。ワコムおよびその関連会社またはライセンサーは、あらゆる変更、改善、アップデート、派生物を含む、本ソフトウェアにおける権利、所有権、利害の一切、ならびに、特許、著作権、商標、企業秘密、その他の知的財産権、工業所有権を保持しており、ライセンス付与以降もこれを保持します。ワコムは、本契約によって明示的にユーザー様に付与されない、本ソフトウェアにおける、およびこれに対する権利や利害の一切を留保しており、ユーザー様は、明示的か黙示的かを問わず、本契約によって明示的に付与される以外の本ソフトウェアにおけるいかなる権利をも取得するものではありません。

2.6 【サポートの欠如】ワコムは、本契約に基づき、テクニカルサポート、メンテナンス、アップグレード、アップデート、変更、新規リリースを提供する義務を負わないものとします。

2.7 【アップデート】ワコムは、その自由裁量において、本ソフトウェアのアップデートまたはアップグレードをユーザー様が利用できるようにすることができるものとします。本ソフトウェア内容の差し替え、追加、変更、強化を行うためにワコムによってユーザー様に提供された、当該アップデートまたはアップグレードには、本契約の条件が適用されます。ただし、当該アップデートまたはアップグレードに別途の条件が付されている場合で本契約と何らかの矛盾が生じる場合はこの条件を優先するものとし、本契約にない条件が含まれている場合はこれが追加条件として適用されます。

3.保証ならびに救済手段

3.1 【限定的保証】ワコムは、本ソフトウェア使用の際、本契約の条件および文書による使用上の注意が守られていれば、ユーザーが本ソフトウェアを初めてダウンロードした日、またはユーザーの製品に本ソフトウェアがプリロードされていた場合はユーザーがアクティベーションを行った日から、(a) ユーザーがヨーロッパ、アフリカ、中東に居住する場合は2年間、(b) ユーザーがその他の地域に居住する場合は90 日にわたり、文書の通り実質的に機能することを保証します(以下「本保証期間」といいます)。本ソフトウェアが本保証期間中に前述の保証から逸脱した場合、ワコムは、ユーザー様に追加負担を要求することなく、本ソフトウェアの修理または交換をして、そのような逸脱を是正するための商業的に合理的な努力をするものとします。ワコムが本ソフトウェアの修理または交換が実行不可能である、または不釣合いである、または合理的な時間内に完了できない、または不合理な不都合を生じさせると判断する場合は、ワコムは、修理または交換するかわりに、ユーザーが支払う料金の適正な割引またはその返金をすることができるものとします。
本ソフトウェアは、フォールトトレラントではなく、リスクの高い活動に関連した使用のために設計、許可、意図されていません。この条項は、本規約に基づくワコムの全責任と義務、および、本ソフトウェアが上記の保証に準拠しない場合のユーザーの唯一かつ排他的な救済を定めるものです。本規約に基づいて、ワコムは次のことを保証しません。(A) 本ソフトウェアがユーザーの要件を満たすこと。 (B) 本ソフトウェアが本契約で定義されている製品以外の製品と互換性を持つ、またはそれらの上で動作すること。 (C) 本ソフトウェアのあらゆる欠陥が是正されること、または本ソフトウェアが停止することなく動作する、あるいはエラーフリーであること。
本契約には、いかなる製品のハードウェア コンポーネントに関する保証も含まれません。それらは、当該のコンポーネントの製造者または販売者が提供する別個の保証に準じます。
上記の不従順が、本ソフトウェアの不正使用、過剰使用、誤使用、改変、過失、あるいは不慮の損傷、またはワコムが実施したものではない修理や変更に起因する場合は、ワコムは本条項に基づく保証義務を負わないものとします。本ソフトウェアの交換や修理により、保証期間が本来の保証期間より延長されることはありません。ワコムは第三者製ソフトウェアについて保証しません。ただし、全体的または部分的に第三者製ソフトウェアによって生じた、またはこれに起因する可能性がある重大な欠陥をユーザー様が発見した場合、ワコムはそのような欠陥について可能な行動を促すために、第三者のライセンサーに報告することを試みます。ワコムは、ライセンサーがそのような欠陥を是正する行動を起こすことを保証することはできません。保証期間内にそのような欠陥がワコムに報告され、ワコムが当該保証期間内に第三者のライセンサーから欠陥の是正を得ることができない場合、ワコムはその自由裁量において、ユーザーが支払う料金の適正な割引またはその返金をすることができるものとします

3.2 【免責事項】本契約に明示的に定められる限定的な保証を除いて、ワコムはいかなる保証も行わず、本ソフトウェアに関し、いかなる種類の表明および保証も行わず、あらゆる責任を負いません。本契約において、ワコムは、商品適合性、特定の目的に対する適性、満足できる品質、精度、権利の不侵害に関する、いかなる種類の表明および保証や、本規約の履行過程、取引過程、または商慣習から発生する可能性のあるいかなる保証をも行うものではありません。ワコムは、ユーザーの製品から移されたデータの正確さについて保証しません。

3.3 【お問い合わせ先】本規約に関係する、またはこれに基づいて生じる通信は、最初に [http://support.wacom.com] にあるワコム カスタマーサポートに送る必要があります。

4.契約の終了

本契約は契約終了まで有効です。さらに、ユーザーによる本契約の条件に対する違反があった場合は、ワコムから通知や措置を行うことなく、本契約におけるユーザーの権利およびライセンスは自動的に終了し、無効となるものとします。本契約の終了に際し、ユーザー様は本ソフトウェアの一切の使用を停止し、本ソフトウェアのすべてのコピー(ユーザー様のバックアップコピーおよびすべての文書を含む)をユーザー様のコンピュータおよびそれらをインストールした類似のデバイスから恒久的に削除し、回復不能な状態にしていただくものとします。本規約の終了後も、1、2.2、2.5、3.2、4、5 の条項は効力を維持するものとします。

5.一般条件

5.1 【準拠法】本契約および本契約に起因または関連する事柄のすべては、準拠法選択の原則に関わらず、日本の国内法に準拠するものとします。本契約は、国際物品売買契約に関する国際連合条約の適用を受けず、その適用を明示的に除外するものとします。本契約または本ソフトウェアに起因または関連して当事者間に議論、申し立てまたは争議が発生した場合は、それらの議論、申し立てまたは争議は日本にある東京地裁のみに裁かれるものとし、ワコムとユーザーは当該裁判所の管轄権と裁判地について取り消し不能な形で同意するものとします。

5.2 【責任の制限】いずれの当事者も、いかなる場合においても、契約、不法行為、その他いかなる法的理論に基づくか否かを問わず、また、相手方の当事者に対しそのような損害の可能性が指摘されてきた場合、またはそのような損害が予測可能であった場合であっても、いずれかの当事者または第三者が被った、間接的損害、付随的損害、特別損害、結果的損害、懲罰的損害、または利益、収入、事業、預金、データの損失、利用の喪失、代替調達品の費用についての責任を負うものではありません。

両当事者は、本契約の 5.2 および他の条項に定められた責任の制限ならびにリスクの配分が、それをなくしてはワコムが本契約の締結に至らなかったであろう、両当事者間の取引の重要要素であることをここに認識するものとします。

上記の定めにかかわらず、本契約におけるいかなる定めも以下の事項に対するワコムの責任を制限するものではありません。(I) ワコムまたはその従業員、代理人の過失を原因とする死亡または負傷。(II) ワコムまたはその従業員、代理人の不正行為または不作為。(III) ワコム側の何らかの故意あるいは重大な過失による不正を起因とする範囲。(IV) 製造物責任法に定められれる義務。

5.3 【可分性】本契約のいずれかの条項が違法、無効、あるいは執行不可能となった場合、当該条項は可能な範囲内において両当事者の意図に従って執行され、そのような執行が不可能である場合は分離されて本契約から削除されたものとみなし、本契約の残りの部分は引き続き完全な効力を維持するものとします。

5.4 【法の遵守】ユーザーは、ユーザーが居住している、またはユーザーが本ソフトウェアをダウンロードまたは使用する国または地域における適用法および規制を、輸出法や地方法規も含めて、遵守することとします。ユーザー様は、上記の定めの全体性を制限することなく、本ソフトウェアまたはその直接の製品を、適用法により規制または禁止されている仕向地、人、法人に輸出、送付、移送してはならず、ユーザー様の代理者に対してもこれを行わないように求めるものとします。

5.5 【完全合意、一般】本契約は、当事者間の完全合意を構成するものであり、書面または口頭の如何にかかわらず、本契約の主題に関する、本契約締結以前または同時期の取決めまたは表明事項のすべてに優先されます。これは、ユーザーとワコムとの間に、パートナーシップ、ジョイントベンチャー、労使関係、代理店関係、フランチャイズ関係を構築するものではなく、そのような意味に解釈されないものとします。本書に記載されている表題、キャプション、条項のタイトルは便宜上挿入されているだけであり、条項または条文を説明するものではありません。いずれかの当事者による本契約の不履行または違反に対する権利放棄は書面によってのみ行うことができるものとし、これはその後のその他の不履行または違反に対する権利を放棄するものではありません。

5.6 【オープンソースソフトウェアを含む第三者製ソフトウェア】 下記のリスト、およびBamboo Paperアプリ内で「Setting(設定)」の「About(ソフトウェアについて)」というメニューの「Third party licenses(第三者ライセンス)」に記載される第三者製ソフトウェアのコンポーネントは、プリインストールされているか、ユーザーがBamboo Paperアプリをインストールする際にインストールされるものであり、ユーザーがBamboo Paperアプリを実行する際に使用することができます。

5.7 【第三者製ソフトウェアのライセンス情報と条件】 すべての第三者製ソフトウェアは、別途のライセンス諸条件が適用される可能性があり、本契約の条項に加えて、またはその代りに適用されます。ユーザーは、Cの項目に記載された第三者製ソフトウェアに適用される別途のライセンス規約を読み、確認しなければなりません。本契約の諸条件ととCの項目における諸条件にが矛盾がある場合、該当する第三者製ソフトウェアにおいては、Cの項目の諸条件が優先されるものとします。ユーザー様は本契約に同意されることにより、第三者製ソフトウェアに適用されるライセンス諸条件にご同意いただいたものとみなされます。

下にある[同意]ボタンをクリックすることで、ユーザーは、(1) 本契約全文と適用される第三者製ソフトウェアのコンポーネントのライセンス規約を読み、確認したこと、(3) [同意]ボタンをクリックする個人は、ユーザーに代わって、本規約を締結する権力、権限、 法的権利を持つこと、(4) [同意]ボタンをクリックすることで、本規約によってユーザーに法的拘束力および執行力を有する義務が生じること、を認めたものとみなされます。
