A. Application Bamboo Paper - Contrat de licence d'utilisateur final

Le présent Contrat de licence d'utilisateur final (ci-après le «Contrat») est conclu entre vous (en tant que particulier installant le logiciel ou en tant qu'entité juridique individuelle au nom de laquelle ce particulier agit) (ci-après «vous», «votre» ou «vos») et Wacom Co. Ltd, 2-510-1 Toyonodai, Kazo-shi, Saitama 349-1148, Japon (ci-après «Wacom»).

IL EST IMPORTANT QUE VOUS LISIEZ SOIGNEUSEMENT ET QUE VOUS COMPRENIEZ BIEN LE PRÉSENT CONTRAT. EN CLIQUANT SUR LE BOUTON «ACCEPTER» OU EN UTILISANT OU EN INSTALLANT CE LOGICIEL, VOUS CONSENTEZ AINSI À ÊTRE LIÉ PAR LE PRÉSENT CONTRAT. SI VOUS N'APPROUVEZ PAS TOUS LES TERMES DE CE CONTRAT OU NE CONSENTEZ PAS À ÊTRE LIÉ(E) PAR LE PRÉSENT CONTRAT, VEUILLEZ CLIQUER SUR LE BOUTON «ANNULER» DE VOTRE PÉRIPHÉRIQUE. SI VOUS N'ACCEPTEZ PAS CE CONTRAT, VOUS N'AUREZ PAS LE DROIT D'INSTALLER CE LOGICIEL, NI DE L'UTILISER OU D'Y ACCÉDER.

1. Définitions

1.1 «Documentation» désigne les guides de l'utilisateur et manuels d'installation et d'utilisation du Logiciel.

1.2 «Produit» désigne la combinaison entre un dispositif matériel avec le Logiciel conçu pour être compatible avec lui.

1.3 « Logiciel » désigne l'application logicielle «Bamboo Paper» développée par Wacom et qui vous permet de saisir avec votre dispositif matériel afin que vous puissiez les utiliser et les traiter à d'autres fins et avec d'autres applications, ainsi que toutes les mises à jour de l’application et de l’appareil fournies ou mises à votre disposition par Wacom. Le «Logiciel» ne désigne pas et ne comprend pas de logiciels tiers.

1.4 « Logiciel tiers » désigne les composants logiciels (y compris les logiciels libres) identifiés dans la section 5.6 ainsi que l'ensemble des codes sources et/ou documents correspondants.

2. Licence de logiciel

2.1 Octroi de licence. Sous réserve des termes et dispositions du présent Contrat, Wacom vous octroie par la présente une licence limitée et non-exclusive pour : (a) installer et utiliser une copie unique du Logiciel, uniquement sous forme lisible par ordinateur, sur un seul périphérique matériel ; (b) utiliser la Documentation fournie avec le Logiciel en appui à votre utilisation autorisée du Logiciel : et (c) à réaliser une seule copie de sauvegarde du Logiciel, à utiliser exclusivement à des fins de sauvegarde, à condition que les notes, légendes et symboles de marques déposées, copyrights et autres droits de propriété intellectuelle et droits restreints inclus dans la version originale du Logiciel soient reproduits sur cette copie de sauvegarde. Nonobstant ce qui précède, si vous avez moins de 18 ans, vous acceptez qu'aucune licence du Logiciel n'est offerte ou fournie sans qu'un parent ou un tuteur légal n'accepte le présent Contrat.

2.2 Restrictions. Vous ne copierez pas et n'utiliserez pas le Logiciel (Documentation comprise) à l'exception de ce qui est expressément permis par ce Contrat ou en cas de reprise après sinistre, de vérification d'erreurs de programmation ou de sauvegarde, et n'autoriserez, n'encouragerez ou ne permettrez pas à une tierce partie de faire ce qui précède. Vous ne devez pas modifier, traduire ou distribuer le Logiciel, ni créer des œuvres basées sur celui-ci, ni le mettre en gage, le concéder sous licence, en octroyer des sous-licences, le prêter, le louer, le louer à bail, ni utiliser le Logiciel pour la formation de tierces parties, dans le cadre d'une exploitation commerciale partagée ou de l'utilisation de services de bureau. De même, vous n'autoriserez, n'encouragerez ou ne permettrez pas à une tierce partie de faire ce qui précède. Vous ne devez pas faire de l'ingénierie inverse, désassembler ou décompiler le Logiciel, ou chercher à en déterminer le code source, les algorithmes, méthodes ou techniques utilisés ou incorporés dans le Logiciel, à l'exception de ce qui est expressément permis par la loi applicable en dépit des présentes restrictions. Vous ne devez pas utiliser le Logiciel avec une tablette, une tablette de signature électronique ou un autre appareil qui ne correspond pas à un Produit tel que défini par le présent Contrat. De même, vous n'autoriserez, n'encouragerez ou ne permettrez pas à une tierce partie de faire ce qui précède. Vous ne devez enlever ou modifier aucune des notes, légendes et aucun des symboles de marque déposée, copyright et autres droits de propriété intellectuelle ou droits restreints figurant dans ou sur le Logiciel.

2.3 « Restrictions à l'exportation ». Toute utilisation ou autre exportation ou réexportation du Logiciel est interdite, à l'exception de ce qui est expressément permis par les lois de la juridiction à partir de laquelle ou dans laquelle vous avez obtenu licitement le Logiciel. Si vous avez obtenu le Logiciel dans ou à partir des États-Unis, il est interdit d'exporter ou de réexporter le Logiciel (a) vers un pays sujet à un embargo décrété par les États Unis ou (b) à qui que ce soit se trouvant sur la liste des « Ressortissants spécifiquement désignés » du ministère des Finances des États-Unis ou sur la liste de personnes ou d'entités refusées, ou autrement désignées comme interdites par le ministère du Commerce des États-Unis. En utilisant le Logiciel, vous déclarez et garantissez ne pas vous trouver dans un tel pays ni sur une telle liste. Vous acceptez également de ne pas utiliser ces produits à des fins interdites par les lois des États-Unis, comprenant, sans toutefois s'y limiter, le développement, la conception, la fabrication ou la production de missiles ou d'armes nucléaires, chimiques ou biologiques.

2.4 Aucune cession, transfert unique. Vous ne devez pas transférer, céder ou déléguer le Logiciel ni vos droits et obligations spécifiés dans le présent Contrat, par effet de loi ou autre, sans le consentement écrit préalable de Wacom, consentement qui ne sera pas refusé sans raison valable. Vous pouvez néanmoins procéder à un transfert unique et permanent du Logiciel et de l'ensemble de vos droits et obligations spécifiés dans le présent Contrat à un tiers si et seulement si toutes les conditions suivantes ont été remplies : (a) le transfert comprend le transfert du dispositif matériel sur lequel le Logiciel a été téléchargé ou pré-installé, et inclut le Logiciel et le présent Contrat, (b) aucunes copies du Logiciel ou de parties de celui-ci ne restent en votre possession sur quelque média ou ordinateur que ce soit, et (c) la partie qui reçoit le Logiciel lit, comprend et déclare consentir aux termes du présent Contrat. Tout transfert, cession ou délégation de l'un de vos droits ou obligations spécifiés dans le présent Contrat en violation du paragraphe qui précède sera déclaré nul et sans effet.

2.5 Propriété. Le Logiciel vous est concédé sous licence, et non vendu, pour être utilisé uniquement en conformité avec les termes du présent Contrat. Wacom et / ou ses affiliés ou donneurs de licence conservent et conserveront tout droit, titre et intérêt dans et sur le Logiciel, ainsi que tout brevet, copyright, marque déposée, secret commercial et tout droit de propriété intellectuelle ou industrielle dans et sur le Logiciel, de même que toute modification, amélioration, mise à jour et œuvres dérivées de celui-ci. Wacom se réserve tous les droits et intérêts dans et sur le Logiciel qui ne vous ont pas été octroyés expressément par du présent Contrat, et vous n'acquérez aucun droit, explicite ou implicite, dans le Logiciel autre que les droits explicitement octroyés en vertu du présent Contrat.

2.6 Aucune assistance. Wacom n'a nulle obligation de fournir assistance technique, maintenance, mises à niveau, mises à jour, modifications ou nouvelles versions en vertu du présent Contrat.

2.7 Mises à jour. Wacom, à sa discrétion, peut mettre à votre disposition des mises à jour ou mises à niveau du Logiciel. Les dispositions du présent Contrat s'appliqueront à toute mise à jour ou mise à niveau qui vous est fournie par Wacom et remplace, complète, modifie ou améliore le Logiciel, sauf si une telle mise à jour ou mise à niveau est accompagnée de conditions distinctes, lesquelles seront applicables dans la mesure où elles ne sont pas incompatibles avec le présent Contrat, ou si elles s'ajoutent aux dispositions existantes.

3. Garanties et recours

3.1 Garanties limitées. Wacom garantit que le Logiciel, s'il est utilisé conformément à la Documentation et aux modalités et dispositions du présent Contrat, fonctionnera matériellement en conformité avec la documentation pour une durée de (a) 2 ans si vous résidez en Europe, en Afrique ou au Moyen Orient, ou (b) quatre-vingt-dix (90) jours si vous résidez ailleurs, à compter de la date de votre premier téléchargement du Logiciel. Si le Logiciel était pré-téléchargé sur votre Produit, la date prise en compte sera celle où vous l'aurez activé («Période de garantie»). Dans le cas où le Logiciel ne serait pas conforme à la garantie précitée pendant la Période de garantie, Wacom fera tous les efforts commerciaux raisonnables pour corriger cette non-conformité en réparant ou en remplaçant le Logiciel sans frais supplémentaires pour vous. Si Wacom venait à déterminer qu'une réparation ou un remplacement du Logiciel n'est pas réalisable, serait disproportionné, ne pourrait pas être effectué en un temps raisonnable ou entraînerait un inconvénient déraisonnable, Wacom pourrait proposer une réduction appropriée ou un remboursement de vos frais au lieu d'une réparation ou d'un remplacement.
LE LOGICIEL N'EST PAS DE TOLÉRANCE AUX PANNES ET N'EST PAS CONÇU, AUTORISÉ NI PRÉVU POUR DES UTILISATIONS EN LIEN AVEC DES ACTIVITÉS À HAUT RISQUE. CE PARAGRAPHE ÉTABLIT LA TOTALITÉ DES RESPONSABILITÉS ET OBLIGATIONS INCOMBANT À WACOM EN VERTU DU PRÉSENT CONTRAT, ET VOTRE RECOURS UNIQUE ET EXCLUSIF DANS LE CAS OU LE LOGICIEL NE SERAIT PAS CONFORME À LA GARANTIE PRÉCITÉE. EN VERTU DU PRÉSENT CONTRAT, WACOM NE GARANTIT PAS QUE : (A) LE LOGICIEL RÉPONDRA À VOS EXIGENCES, (B) LE LOGICIEL SERA COMPATIBLE AVEC, OU FONCTIONNERA SUR TOUT PRODUIT AUTRE QUE CEUX DÉFINIS PAR LA PRÉSENTE, OU (C) QUE TOUS LES DÉFAUTS DU LOGICIEL SERONT CORRIGÉS, OU QUE LE LOGICIEL FONCTIONNERA DE MANIÈRE ININTERROMPUE ET SANS ERREUR.
Le présent Contrat ne comportent aucune garantie de Wacom quant aux composants matériels des produits, qui sont sujets à des garanties distinctes fournies par le fabricant ou détaillant de ces composants.
WACOM N'AURA AUCUNE OBLIGATION DE GARANTIE EN VERTU DE CE PARAGRAPHE SI LA NON-CONFORMITÉ EST CAUSÉE PAR UNE UTILISATION NON-AUTORISÉE DU LOGICIEL, UNE UTILISATION ABUSIVE, UNE MAUVAISE UTILISATION, UNE ALTÉRATION, UNE NÉGLIGENCE OU UN DOMMAGE ACCIDENTEL DU LOGICIEL OU ENCORE PAR UNE RÉPARATION OU UNE MODIFICATION DU LOGICIEL QUI N'AURA PAS ÉTÉ EFFECTUÉE PAR WACOM. LA RÉPARATION OU LE REMPLACEMENT DU LOGICIEL NE PROLONGE PAS SA GARANTIE AU-DELÀ DE LA PÉRIODE DE GARANTIE INITIALE. WACOM NE GARANTIT PAS LES LOGICIELS TIERS. Toutefois, si vous découvrez qu'une panne sérieuse est causée par, ou est attribuable en entier ou en partie, au logiciel tiers, Wacom tentera de signaler cette panne au donneur de licence du logiciel tiers pour que celui-ci prenne éventuellement des mesures. Wacom ne peut garantir que le donneur de licence prendra des mesures pour remédier à une telle panne. Si une telle panne est signalée à Wacom au cours de la période de garantie et Wacom ne parvient pas à obtenir une réparation de la panne par le donneur de licence du logiciel tiers au cours de ladite période de garantie, Wacom peut, à sa seule discrétion, proposer une réduction appropriée ou un remboursement de vos frais.

3.2 Clauses de non-responsabilité. Hormis les garanties limitées explicites comprises dans le présent Contrat, WACOM N'APPORTE AUCUNE GARANTIE ET NE FAIT AUCUNE AUTRE DÉCLARATION ET NE DONNE AUCUNE AUTRE GARANTIE DE QUELQUE NATURE QUE CE SOIT CONCERNANT LE LOGICIEL. DANS LE PRÉSENT CONTRAT, WACOM NE FAIT AUCUNE DÉCLARATION ET N'OFFRE AUCUNE GARANTIE DE QUELQUE NATURE QUE CE SOIT QUANT À LA VALEUR MARCHANDE, L'ADAPTATION À UN USAGE PARTICULIER, UNE QUALITÉ SATISFAISANTE, L'EXACTITUDE ET LA NON-VIOLATION, ET N'APPORTE AUCUNE GARANTIE QUI POURRAIT DÉCOULER DE PRESTATIONS, DE RAPPORTS D'AFFAIRES OU DE PRATIQUES COMMERCIALES. WACOM NE GARANTIT PAS L'EXACTITUDE DES DONNÉES QUE VOUS AVEZ TRANSFÉRÉES DEPUIS VOTRE PRODUIT.

3.3 Interlocuteur. La correspondance relative à ou découlant du présent Contrat est à adresser en premier lieu au Service clientèle de Wacom à l'adresse suivante [http://support.wacom.com].

4. Résiliation

Le présent Contrat restent en vigueur jusqu'à ce qu'elles soient résiliées. En outre, les droits et licences qui vous sont octroyés par le présent Contrat seront résiliés automatiquement et cesseront d'être en vigueur, sans avertissement ou action de la part de Wacom, dans le cas où vous ne respecteriez pas l'une des clauses du présent Contrat. Après résiliation du présent Contrat, vous cesserez toute utilisation du Logiciel et vous effacerez de manière permanente et rendrez impossible à récupérer le Logiciel et toutes ses copies (y compris votre copie de sauvegarde et toute la Documentation) sur votre ordinateur et tous les appareils similaires sur lequel il était installé. Après résiliation du présent Contrat, les articles 1, 2.2, 2.5, 3.2, 4 et 5 demeurent en vigueur.

5. Dispositions générales

5.1 Droit applicable. Le présent Contrat et toutes les questions y afférentes sont régies par le droit japonais, sans donner lieu à un quelconque choix de règle de droit. Le présent Contrat ne sont pas régies par la Convention des Nations unies sur les contrats de vente internationale de marchandises, dont l'application est formellement exclue. En cas de différend, plainte ou litige entre les parties en relation avec le présent Contrat ou le Logiciel, le différend, la plainte ou le litige seront exclusivement traités devant le Tribunal de district de Tokyo, situé au Japon, et Wacom et vous-même consentez irrévocablement par la présente à reconnaître la juridiction et le siège de ce tribunal.

5.2 Limitation de responsabilité. L'UNE OU L'AUTRE DES PARTIES NE SAURAIT EN AUCUN CAS ÊTRE TENUE POUR RESPONSABLE DE DOMMAGES INDIRECTS, ACCIDENTELS, SPÉCIAUX, CONSÉCUTIFS OU PUNITIFS, OU DE DOMMAGES POUR PERTE DE BÉNÉFICES, DE REVENUS, D'ACTIVITÉS, D'ÉCONOMIES, DE DONNÉES, D'UTILISATION OU DE FRAIS DE REMPLACEMENT DE SERVICE SUBIS PAR L'UNE DES DEUX PARTIES OU UNE TIERCE PARTIE, QUE CE SOIT DANS LE CADRE D'UNE ACTION CONTRACTUELLE, DÉLICTUELLE OU AUTRE, MÊME SI L'AUTRE PARTIE A ÉTÉ INFORMÉE DE LA POSSIBILITÉ DE TELS DOMMAGES OU QUE CES DOMMAGES ÉTAIENT PRÉVISIBLES.

LES PARTIES RECONNAISSENT QUE LES LIMITATIONS DE RESPONSABILITÉS STIPULÉES DANS LA SECTION 5.2 ET DANS LES AUTRES DISPOSITIONS DU PRÉSENT CONTRAT ET L'ATTRIBUTION DES RISQUES TELLE QUE SPÉCIFIÉE PAR LA PRÉSENTE CONSTITUENT UN ÉLÉMENT PRIMORDIAL DE LA NÉGOCIATION DE L'ACCORD ENTRE LES PARTIES, SANS LEQUEL WACOM N'AURAIT PAS CONCLU LE PRÉSENT CONTRAT.

NONOBSTANT LES DISPOSITIONS CI-DESSUS, AUCUN ÉLÉMENT DU PRÉSENT CONTRAT NE LIMITE LA RESPONSABILITÉ DE WACOM ENVERS VOUS EN CAS DE : (I) DÉCÈS OU BLESSURE CORPORELLE DANS LA MESURE OÙ CEUX-CI RÉSULTERAIENT D'UNE NÉGLIGENCE DE WACOM, DE SES EMPLOYÉS OU DE SES REPRÉSENTANTS ; OU (II) D'ACTE FRAUDULEUX OU D'OMISSION DE LA PART DE WACOM, DE SES EMPLOYÉS OU DE SES REPRÉSENTANTS ; OU (III) EN CAS DE FAUTE INTENTIONNELLE OU NÉGLIGENCE GRAVE DE LA PART DE WACOM, OU (IV) EN APPLICATION DES LOIS CONTRAIGNANTES DE RESPONSABILITÉ DU FAIT DU PRODUIT.

5.3 Clause de divisibilité. Si une clause du présent Contrat est réputée illégale, invalide ou inapplicable, cette clause sera appliquée dans la limite du possible en conformité avec l'intention déclarée des parties ou, si son application s'avère impossible, elle sera considérée comme dissociée et effacée du présent Contrat, tandis que le reste du Contrat resteront en vigueur et de plein effet.

5.4 Conformité avec les lois. Vous êtes tenu de vous conformer aux lois et réglementations en vigueur, y compris aux lois sur les exportations et lois locales du pays ou de la région où vous résidez, ou où vous avez téléchargé ou utilisez le Logiciel. Sans limiter la généralité des dispositions ci-dessus, vous ne devez pas, et vous devez demander à vos représentants de ne pas exporter, envoyer ou transférer le Logiciel ou tout produit direct de celui-ci vers une destination, une personne ou une entité sujettes à une restriction ou une interdiction en vertu de la loi en vigueur.

5.5 Intégralité du contrat, dispositions générales. Le présent Contrat constituent l'ensemble de l'accord conclu entre les parties et abrogent tous les autres contrats ou déclarations préalables ou contemporains, oraux ou écrits, relatifs à leur objet. Elles ne créent pas, et doivent pas être interprétées comme ayant pour objet de créer une relation de partenariat, coentreprise, employeur-employé, de représentation ou de franchiseur-franchisé entre vous et Wacom. Tout en-tête, chapeau ou titre de section contenu dans le présent document n'est inséré que par commodité et ne définit ou n'explique en aucune manière la section ou la clause. L'exemption d'une partie en cas de manquement ou d'infraction aux présent Contrat requiert la forme écrite et ne constitue pas une exemption d'autres manquements ou infractions ultérieurs.

5.6 Inclusion de logiciels tiers, y compris de logiciels ouverts. Les éléments de logiciels tiers repris ci-dessous et dans la clause « Licences de logiciels tiers » dans l'application Bamboo Paper en cliquant sur le bouton « À propos » dans le menu des paramètres seront pré-installés ou s'installeront quand vous installerez l'application Bamboo Paper, et peuvent être utilisés quand vous utilisez l'application Bamboo Paper.

5.7 Mention des licences et des conditions d'utilisation des logiciels tiers. Tous les logiciels tiers sont ou peuvent être régis par des contrats de licence et conditions d'utilisation distincts qui s'appliqueront en plus ou à la place des dispositions susmentionnées dans le présent Contrat. Vous DEVEZ lire et consulter attentivement les contrats de licence et conditions d'utilisation distincts qui s'appliquent aux logiciels tiers tels que visés à la section C. Si jamais un conflit surgit entre les dispositions susmentionnées du présent Contrat et les conditions générales citées dans la section C, alors les conditions générales citées dans la section C s'appliqueront en priorité dans le cas des Logiciels de tiers applicables. Votre consentement au présent Contrat constitue également un consentement aux contrats de licence et conditions d'utilisation distincts qui s'appliquent aux logiciels tiers.

EN CLIQUANT SUR LE BOUTON «ACCEPTER» CI-DESSOUS, VOUS RECONNAISSEZ (1) AVOIR LU ATTENTIVEMENT CE CONTRAT DANS SA TOTALITÉ AINSI QUE LES LICENCES S'APPLIQUANT AUX COMPOSANTS DE LOGICIELS TIERS, (2) QUE LA PERSONNE QUI CLIQUE A LE POUVOIR, LA QUALITÉ ET LE DROIT LÉGAL DE CONCLURE LE PRÉSENT CONTRAT EN VOTRE NOM ET QUE (3) EN CLIQUANT, CE CONTRAT CONSTITUE UNE OBLIGATION VALIDE ET EXÉCUTOIRE DANS VOTRE CHEF.

All of the deliverable code in SQLite has been dedicated to the public domain by the authors. All code authors, and representatives of the companies they work for, have signed affidavits dedicating their contributions to the public domain and originals of those signed affidavits are stored in a firesafe at the main offices of Hwaci. Anyone is free to copy, modify, publish, use, compile, sell, or distribute the original SQLite code, either in source code form or as a compiled binary, for any purpose, commercial or non-commercial, and by any means.

The previous paragraph applies to the deliverable code in SQLite - those parts of the SQLite library that you actually bundle and ship with a larger application. Portions of the documentation and some code used as part of the build process might fall under other licenses. The details here are unclear. We do not worry about the licensing of the documentation and build code so much because none of these things are part of the core deliverable SQLite library.

All of the deliverable code in SQLite has been written from scratch. No code has been taken from other projects or from the open internet. Every line of code can be traced back to its original author, and all of those authors have public domain dedications on file. So the SQLite code base is clean and is uncontaminated with licensed code from other projects.
